Description
We are seeking an attorney to join our dynamic and collaborative in-house Legal Department. In this high-profile, hands-on role, you will report to Corporate/Commercial and will be responsible for providing counsel to a wide variety of client groups.
Key Responsibilities
Draft and negotiate commercial/transactional documents such as sales and purchasing contracts, IT contracts (e.g., software licenses, SaaS, consulting agreements), and real estate contracts (e.g., leases, licenses, easements, and purchase and sale agreements).
Provide advice and counseling to internal clients on a wide array of construction-related issues relating to industrial facilities and high-profile equipment installation projects.
Draft, improve, and update standard real estate, construction, and facilities management forms.
Manage and coordinate outside counsel, including review of critical documents, preparing an outside counsel budget, and monitoring the same.
Maintain a corporate culture with a high degree of emphasis on dignity, respect, and inclusion.
Take the lead on complex corporate transactions, as needed.
Provide training, orientation, and coordination of work for junior legal staff, paralegal, and administrative staff.
Carry out other duties as assigned.
Requirements
Required Qualifications
Juris Doctor (JD) and licensed to practice law in at least one state, in good standing.
Minimum of five years experience involving complex commercial contracts, including industrial construction projects and equipment installation work (preferred).
Advanced legal drafting skills; able to handle complex drafting with speed and accuracy.
Ability to contribute to special drafting projects, including M&A activity.
Provides strategic counsel and legal advice/services primarily to management on complex legal matters, balancing legal risk with business objectives.
Strong problem-solving and analytical skills; able to develop practical solutions and withstand scrutiny from senior legal leadership.
Excellent communication skills, with the ability to advise management and collaborate across teams.
Works independently with limited guidance, leading functional teams or projects as needed.
Sophisticated understanding of applicable laws and regulations relevant to responsibilities.
Strong project management skills; able to manage large workloads, prioritize, and delegate effectively.
Familiar with legacy liability issues such as environmental and risk transfer concepts, including insurance.
Preferred Qualifications
Experience with brown-field real estate transactions and mining properties, including title transfer, deed recording, licenses, easements, rights of way, and mineral/mining rights.
Experience in environmental compliance, construction and development projects, zoning, and land use matters.
Prior mergers and acquisitions experience.
